Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using the services of UV Ledger & Tax Solutions ("the Firm", "we", "us"), you ("the Client", "you") agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our services.

2. Scope of Services

We provide professional services including but not limited to GST registration & filing, Income Tax Return (ITR) filing, TDS compliance, accounting & bookkeeping, payroll management, tax planning & consultancy, MSME/Udyam registration, and FSSAI registration.

The specific scope, deliverables, and fees for each engagement will be agreed upon in writing before the commencement of work. Any services not explicitly mentioned in our agreement are outside the scope of this engagement.

3. Client Responsibilities

  • Provide accurate, complete, and timely information and documents as requested by our team.
  • Respond to queries and review drafts within a reasonable timeframe to avoid delays.
  • Inform us of any changes in business structure, income, or other material facts that may affect the service.
  • Maintain copies of all documents submitted to us for your records.

4. Fees & Payment

Service fees will be communicated in advance and agreed upon before starting any engagement. Payment is expected within the timeframe mentioned in the invoice. Late payments may attract interest at 1.5% per month on the outstanding amount.

Fees quoted are exclusive of government filing fees, penalties, or any statutory charges payable to authorities. These will be borne by the client separately.

5. Confidentiality

We maintain strict confidentiality of all client information, documents, and data shared with us. Your information will not be disclosed to any third party without your written consent, except as required by law or regulatory authorities.

Similarly, you agree to keep confidential any proprietary information, methodologies, or processes shared by us during the engagement.

6. Limitation of Liability

While we strive for accuracy and compliance, UV Ledger & Tax Solutions shall not be held liable for:

  • Any penalties, interest, or losses arising from inaccurate or incomplete information provided by the client.
  • Changes in tax laws, government policies, or departmental procedures beyond our control.
  • Delays caused by government departments, portals, or third-party systems.
  • Any consequential, indirect, or incidental damages.

7. Intellectual Property

All reports, computations, advice, and deliverables prepared by us remain our intellectual property until full payment is received. Upon payment, you are granted a non-exclusive license to use the deliverables for the intended purpose only.

8. Termination

Either party may terminate the engagement with 15 days' written notice. Upon termination, you will be responsible for payment of all services rendered up to the date of termination. Any advance payments for unrendered services will be refunded on a pro-rata basis.

9. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, internet outages, or portal downtime.

10. Dispute Resolution

Any disputes arising from these terms or our services shall first be resolved through mutual discussion. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra, India.

11. Amendments

We reserve the right to amend these Terms & Conditions at any time. Updated terms will be posted on this page with the revised effective date. Continued use of our services after changes constitutes acceptance of the updated terms.
